2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age;

  • Be legally capable of entering into binding contracts; and

  • If you are a Contractor, be an active employee in good standing with a participating retailer.

By creating an account, you represent that all information you provide is true, accurate, and complete, and that you will keep it up to date.

3. Contractor Participation

If you participate as a Contractor through XRS:

  • You are acting as an independent contractor, not an employee of XRS or the brand or retailer associated with any project.

  • You are solely responsible for your taxes, insurance, and compliance with applicable laws.

  • You must only perform XRS-related work off the clock and outside of your regular employer duties.

  • You acknowledge that payment is made only upon verified completion of assigned tasks.

  • You agree to complete all work honestly, accurately, and in compliance with XRS guidelines and your employer’s store policies.

XRS reserves the right to remove or suspend any Contractor who fails to meet quality, compliance, or ethical standards.

4. Use of the Services

When using XRS, you agree that you will:

  • Use the Services only for lawful purposes;

  • Not misrepresent your identity or association with any retailer or brand;

  • Not attempt to access or tamper with other users’ data;

  • Not use the platform for fraudulent, deceptive, or unauthorized purposes.

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Data Sharing with Employers

By using the Services, you agree that XRS may share relevant project information with your employer (the participating retailer), including:

  • Your project participation status and completion results;

  • Verification data such as timestamps, store locations, and submitted photos;

  • Performance metrics or feedback related to your participation.

Employers use this information solely to verify project completion, confirm eligibility, and improve in-store execution.

6. Supplier and Retailer Use

Suppliers and retailers using the XRS platform agree to:

  • Provide accurate project information, timelines, and compensation details;

  • Pay only for verified completed work through the XRS system;

  • Not engage in discrimination, harassment, or misuse of user data.

All project payments, terms, and conditions are managed directly through XRS.

XRS is not responsible for business outcomes, marketing performance, or sales impact resulting from completed projects.

7. Payments

Payments to Contractors are processed after successful project verification through the XRS platform.

  • Contractors are paid within 24 hours of task approval.

  • All payments are made via the payment processor designated by XRS.

  • Contractors are responsible for any taxes, fees, or reporting obligations associated with received income.

XRS reserves the right to withhold payment for incomplete, unverifiable, or fraudulent submissions.

8. Intellectual Property

All content, materials, trademarks, and technology used in the Services are the exclusive property of XRS or its licensors.

You may not copy, modify, distribute, or create derivative works from any content without written permission.

9. Third-Party Services

XRS may use third-party tools and integrations, such as Google Analytics, for site performance and analytics.

Use of these tools is subject to their respective privacy and data handling policies.

10. Termination

We may suspend or terminate your account at any time, without notice, for conduct that we determine violates these Terms, our policies, or applicable law.

You may discontinue use of the Services at any time by deleting your account or contacting us directly.

11. Disclaimers

XRS provides its Services “as is” and “as available” without warranties of any kind.

We do not guarantee continuous, error-free access, or specific business results from using the Services.

XRS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, XRS and its affiliates, officers, employees, and contractors will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill, arising from or related to the use or inability to use the Services.

XRS’s total liability shall not exceed the greater of:

(a) the total fees paid to XRS in the past 12 months, or

(b) $100 USD.

13. Indemnification

You agree to indemnify and hold harmless XRS, its affiliates, and personnel from any claims, damages, or expenses (including attorney’s fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.
